Corporate governance refers to the process and structure used to direct and manage the business and affairs of a company with the objective of enhancing shareholder value.  Corporate governance processes and structures define the division of power among the shareholders, the board of directors and the management of the company and establish accountability.  Square One Solar Systems Corporation (Square One) is bound by specific laws and regulations as set by the  Securities Exchange Commission, and has instituted a number of internal policies including the following Corporate Governance Policy. 

 

Square One  is also committed to the highest possible standards of openness, honesty and accountability. In line with that commitment, we expect employees and others that we deal with who have serious concerns about any aspect of the company‘s work to come forward and voice those concerns. Employees are often the first to realize that there may be something seriously wrong within the company. However, they may decide not to express their concerns because they feel that speaking up would be disloyal to their colleagues or to the company. They may also fear harassment or victimization. In these circumstances, they may feel it would be easier to ignore the concern rather than report what may just be a suspicion of malpractice.   For this reason, the company has instituted a Whistle Blowing Policy is that is intended to encourage and enable employees to raise serious concerns within the company rather than overlooking a problem or seeking a resolution of the problem outside the company.

 

 

It is also the policy of Square One  that the chief executive officer, chief financial officer, principal accounting officer or controller, and/or persons performing similar observe high standards of business and personal ethics in the conduct of their duties and responsibilities. The Senior Officers must practice honesty and integrity in every aspect of dealing with other Company employees, the public, the business community, stockholders, customers, suppliers and government authorities.  Hence, Senior Officers are committed to abiding by a Code of Ethics that has been instituted and is monitored by outside audits and independent member of the Board of Directors.

 

 

Finally, Square One  has adopted an Environmental Code of Ethics, whereby internal policies have been implemented and are enforced to minimize the company’s ‘footprint’ on the planet.  This includes limiting the negative impacts on the natural environment through the responsible use of resources, effective waste management and minimizing of pollution; limit activities, services and facilities to levels that do not threaten the integrity of the planet’s resources or systems while continuing to support the economic goals of the company; and seek innovative solutions to mitigate or avoid undesirable environmental, social and cultural impacts.
